The application, award, and administration of the Make it Count Grant (“Grant” or “Grant Award”) are subject to these Terms and Conditions. By submitting an application, the applicant (“Awardee”) agrees to the following:
- Eligibility and proposal requirements

- The Grant is open to scientists and researchers affiliated with accredited research facilities or institutions in the United States, European Union, or United Kingdom.
- Applicants must be conducting research related to genomics applications in human health, disease detection, or cell and gene therapy.
- Proposals must be complete, written in English, and describe original research.
- Applicants must have eligible samples in their possession at the time of application and be able to ship these samples outside their organization.
- Awardees agree to acknowledge the Grant and Countable Labs in any publications or presentations resulting from the award.
- Award details

- Grant Awards include assay design and sample analysis using the Countable PCR platform, a full publication-ready data report including assay conditions, a travel stipend to present results at a scientific conference, and a Countable Labs gift for all eligible applicants.
- The Grant Award has no cash value, is non-transferable, and may not be redeemed for other products or services.
- Materials and services provided under the Grant are for research use only and may not be resold.
- Awardees are responsible for all research costs not expressly included in the Grant Award.
- Data rights and intellectual property

- Awardees will receive all data generated from their samples.
- By accepting the award, Awardees grant Countable Labs a perpetual, royalty-free, non-exclusive license to use project data for internal research, product development, marketing, and case studies.
- All scientific data used for these purposes will be anonymized and stripped of sample identifiers and unpublished experimental details that could reasonably be used to replicate or “scoop” the Awardee’s work, unless the Awardee provides prior written consent for attribution of specific data points.
- Any invention derived from Countable Labs’s platform, chemistry, or methods will be owned by Countable Labs. Inventions unrelated to Countable Labs’s technology will be owned by the Awardee. Jointly created inventions will be jointly owned, with Countable Labs retaining a license for internal research and business purposes.
- Publications and presentations

- Awardees are encouraged to publish results but must provide Countable Labs with any manuscripts or abstracts referencing Countable Labs at least 30 days in advance for review to protect confidential information and intellectual property.
- Publications must include the following acknowledgment: “Research reported in this publication was supported in part by the Be a Billionaire Grant from Countable Labs, Inc.”
- Legal compliance and liability waiver

- Awardees must comply with all applicable laws, regulations, and institutional requirements regarding sample collection, handling, shipment, and research ethics.
- All materials and services are provided “AS IS” without warranty, including implied warranties of merchantability or fitness for a particular purpose.
- Countable Labs is not liable for indirect, incidental, or consequential damages related to the Grant Award or the Awardee’s research activities.
- Awardees agree to hold Countable Labs harmless from any claims, losses, or damages arising from their research activities or participation in the Grant program, including travel undertaken as part of the award.
- Program administration

- Awards will be made on a rolling basis until program spots are filled.
- Awardees must confirm acceptance of the Grant within 7 business days of notification or the award may be forfeited.
- Modification and termination

- Countable Labs reserves the right to modify or terminate the Grant program, including these Terms and Conditions, at any time and for any reason, with written notice to current Awardees.
- Use of name, image, and likeness

- By submitting an application, applicants grant Countable Labs the right to use their name, institutional affiliation, likeness, and general project description in marketing materials, promotional content, press releases, and reports, without expiration, provided that unpublished scientific results are not disclosed without prior written consent.
- Governing law
This Grant program and any disputes arising under it will be governed by the laws of the State of Delaware, United States of America, without regard to conflicts of law principles.
